Terms of Service

Acceptance of Terms

By creating an account or using any Silica product, you agree to these Terms of Service. If you're accepting on behalf of a company, you confirm you have the authority to bind that company.

Description of Service

Silica provides software for fleet logistics, vehicle telematics, branded storefronts, and point of sale, delivered as a hosted service and accessible via dashboard and API. We may add, change, or discontinue features at any time, and will give reasonable notice before changes that materially reduce functionality you rely on.

Accounts & Registration

You're responsible for the accuracy of information provided when creating an account, for safeguarding your credentials and API keys, and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

Subscriptions & Billing

Paid plans are billed in advance on the cycle shown at signup. Usage-based charges (such as per-location or per-vehicle fees) are billed in arrears based on metered usage. Fees are non-refundable except where required by law. Failure to pay may result in suspension of service after notice.

Acceptable Use

You agree not to:

  • Use the platform to violate any law, or to infringe on the rights of others.
  • Attempt to breach, probe, or disrupt Silica's infrastructure or another customer's data.
  • Reverse engineer the platform except where permitted by law.
  • Resell or white-label the platform without a separate written agreement.

Intellectual Property

Silica retains all rights to the platform, including its software, design, and trademarks. You retain ownership of the data you put into the platform (orders, inventory, telemetry, and customer records), and grant us a license to process it solely to provide the service.

Third-Party Services

The platform integrates with third-party services (payment processors, mapping providers, accounting tools). Your use of those integrations is subject to the third party's own terms, and Silica isn't responsible for their performance.

Disclaimers & Limitation of Liability

The platform is provided “as is.” To the extent permitted by law, Silica disclaims implied warranties of merchantability and fitness for a particular purpose, and our total liability for any claim is limited to the fees you paid in the 12 months preceding the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

Termination

You may cancel your subscription at any time from your dashboard. We may suspend or terminate access for material breach of these terms, non-payment, or conduct that puts other customers or our infrastructure at risk. On termination, you can export your data for 30 days before it is deleted.

Governing Law

These terms are governed by the laws of the jurisdiction in which Silica, Inc. is incorporated, without regard to conflict-of-law principles, unless a mandatory local law provides otherwise.

Changes to These Terms

We may update these terms from time to time. We'll update the “last updated” date above and, for material changes, notify account administrators by email before the changes take effect.
